Welcome to BakeryMyDay! These Terms and Conditions ("Terms") govern your use of the BakeryMyDay software, website, and services (collectively, the "Service") provided by BakeryMyDay ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of Service

BakeryMyDay is a Software-as-a-Service (SaaS) platform designed to help artisan and home bakeries manage their business operations. Features include recipe management and costing, inventory tracking, production planning, customer and order management, and financial reporting. The Service may also include features that utilize artificial intelligence ("AI") to parse and import data from user-provided images.

2. User Accounts

• Eligibility: You must be at least 18 years old to create an account and use the Service.
• Account Security: You are responsible for maintaining the security of your account and password. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with this security obligation.
• Accurate Information: You agree to provide true, accurate, and complete information when you register for an account and to keep that information up-to-date.

3. Subscriptions and Payment

• Free Trial: We may offer a free trial period. At the end of the trial period, you must purchase a subscription to continue using the premium features of the Service.
• Billing: Subscriptions are billed in advance on a recurring monthly or annual basis. By providing a payment method, you authorize us (through our third-party payment processor, Stripe) to charge your payment method for your chosen subscription plan.
• Cancellation: You may cancel your subscription at any time. Your cancellation will take effect at the end of the current billing cycle. You will not be charged for the next billing cycle.
• Refunds: Payments are non-refundable, and we do not provide refunds or credits for any partial subscription periods or unused services.
• Price Changes: We reserve the right to change our subscription plan prices at any time. We will provide you with at least 30 days' notice of any price changes.

4. User-Generated Content and Data

This section covers the data you upload or create within the Service, including recipes, photos, customer information, and financial data ("User Content").

• Ownership: You retain all ownership rights, including intellectual property rights, to your User Content. We do not claim any ownership over your data.
• License to Us: By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute your User Content solely for the purpose of operating, providing, and improving the Service. This license ends when you delete your User Content or your account.
• Your Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent that you have all necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.
• AI Features: The Service may include features that use third-party AI models to parse data from images you upload. You acknowledge that any content submitted to these AI features will be processed by our third-party AI provider. The output generated by the AI is provided on an "as-is" basis. We do not guarantee the accuracy of AI-generated content. It is your sole responsibility to review and verify all AI-generated data before using it for any purpose.

5. Acceptable Use Policy

You agree not to use the Service to upload or transmit any content that is unlawful, harmful, defamatory, or otherwise objectionable; violate the privacy or intellectual property rights of others; or attempt to gain unauthorized access to our systems.

6. Our Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of BakeryMyDay and its licensors. The Service is protected by copyright, trademark, and other laws.

7. Privacy

Your privacy is important to us. Our Privacy Policy, which is a separate document, explains in detail how we collect, use, store, and share your personal information and data. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

8. Disclaimer of Warranties and Responsibility

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the reliability, availability, accuracy, or completeness of the Service.

You expressly understand and agree that:

• (a) Your use of the Service is at your sole risk. The Service is a management tool, not a substitute for professional business, financial, or legal advice.
• (b) Data Accuracy is Not Guaranteed. Any calculations, including but not limited to recipe costing, nutritional information, tax calculations, and profit margins, may contain errors. You are solely responsible for verifying the accuracy of all calculations and data before using them for pricing, labeling, accounting, or any other purpose.
• (c) Traceability and Inventory data is for informational purposes only. While the Service provides tools for lot tracking, we are not liable for any failures in traceability, inventory management, or for any damages arising from product recalls or stock issues. You are responsible for maintaining your own primary business records.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall BakeryMyDay, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content. Our total liability to you for any and all claims arising out of your use of the Service is limited to the amount you have paid us in the six (6) months preceding the claim.

10. Modification and Termination of Service

We are constantly changing and improving the Service. We reserve the right, at our sole discretion, to modify, suspend, or discontinue the Service, in whole or in part, at any time, with or without notice to you. We will make a reasonable effort to provide advance notice of any major discontinuation of the Service and to provide you with an opportunity to export your User Content. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service.

11. Term and Termination

We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is otherwise harmful to other users of the Service, us, or third parties. Upon termination, your right to use the Service will immediately cease. We may, at our discretion, provide you with an opportunity to export your User Content. We are not obligated to maintain your User Content post-termination.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Massachusetts, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
